ULTIMATE VIP EXPERIENCE SWEEPSTAKES
RULES AND REGULATIONS
This Ultimate VIP Experience Sweepstakes (the “Sweepstakes”) is sponsored by Black & Decker (U.S.) Inc., acting through its DEWALT Industrial Tools Division (“DEWALT”). The Sweepstakes begins on August 9, 2010 and ends on September 10, 2010 (the “Sweepstakes Period”), and will be held at participating The Home Depot retail stores (collectively, the “Sweepstakes Locations”).

2. How To Enter.
In order to enter, each participant must completely fill out the entry form (the “Entry Form”), available at the Sweepstakes Locations during the Sweepstakes events (the “Sweepstakes Events”) as announced by DEWALT from time to time. Currently scheduled Sweepstakes Events may be founds at www.Dewalt.com under the “Events” tab. The information requested and marked “optional” on the Entry Form may be answered at the participant’s discretion. All Entry Forms must be received by DEWALT at the Sweepstakes Locations during the Sweepstakes Event. By completing and submitting an Entry Form during a Sweepstakes Event, participants receive one (1) entry for the Sweepstakes. The maximum number of entries is one (1) per person per day.
3. Drawing
A random drawing to select the winners will be held at DEWALT’s headquarters in Towson, Maryland on or about September 12, 2010. The first entry drawn will be declared the “Grand Prize Winner,” the next five (5) entries drawn will be declared the “Second Place Winners,” and the next ten (10) entries drawn will be declared the “Third Place Winners.” The Grand Prize Winner, Second Place Winners, and Third Place Winners shall be referred to herein individually as a “Winner” and collectively as the “Winners.” A DEWALT representative will be present to conduct the drawings. Participants need not be present to win. Each Winner will be notified either by phone, email, or by mail within approximately four (2) days of the drawing based on the information provided in his or her Entry Form. All qualified entries will be placed in the drawing. Odds of winning a prize depend on the number of eligible entries received.
4. Prize
The Grand Prize Winner will receive a trip for two (2) to attend the Mosely v. Mora boxing match (the “Fight”) in Los Angeles, California, at the Staples Center on September 18, 2010 (the “Grand Prize”), which has an approximate retail value of $4,000 and also includes (i) round trip airfare (coach, from the major commercial airport nearest the Grand Prize Winner’s residence) for two (2) to Los Angles, California, (ii) a two (2) night, three (3) day stay at a hotel in the local or neighboring area of the Fight (one (1) standard room), (iii) transportation to and from the airport, and (iv) a $500 credit at the hotel for meals. Each Second Place Winner will receive the “Second Place Prize,” which has an approximate retail value of $279 and includes one (1) Compact Lithium Combo Kit (DCK265L). Each Third Place Winner shall receive the “Third Place Prize,” which has an approximate retail value of $219 and includes one (1) Compact Lithium Drill Kit (DCD760KL). The total retail value of all the prizes available in the Sweepstake is $7,585. The use of any entity’s or person’s name in connection with this section is solely for the purpose of describing one or more prizes and is not intended to suggest any ownership rights or sponsorships or affiliations in connection therewith. Income and other taxes (if any) are the responsibility of the Winner. All travel is subject to availability for chosen time of travel and will be arranged by DEWALT. Travel does not include upgrades in airfare, travel arrangements to and from the home airports, airport taxes, or additional hotel night, separate hotel rooms, additional meals, additional guests or other incidental costs.
DEWALT shall not be responsible for any changes, delays, or cancellations associated with the Fight. The Grand Prize Winner must be prepared to leave for the Fight on or before Friday, September 17, 2010. The Second Place Winners and Third Place Winners should allow thirty (30) days from acceptance for delivery of their prizes. DEWALT reserves the right to substitute any prize for a prize of equal or greater value. All prizes are non-transferable and are not redeemable for cash. The failure to accept the Grand Prize within two (2) days, or fifteen (15) days in the case of the Second Place Prize or Third Place Prize, after notification may result in a forfeiture of any prize awarded hereunder.
5. Eligibility
The Sweepstakes is open to legal residents of the U.S. residing in the 48 contiguous states, Alaska, Hawaii and the District of Columbia 18 years or older. Individuals who are or were employees of DEWALT, Home Depot U.S.A., Inc., or their affiliates, manufacturers, sales representatives, subsidiaries or parent companies, advertising/sales promotion agencies, or judging organizations since January 1, 2010 and the immediate families of each are not eligible. Void where prohibited. Entry materials become the property of DEWALT and will not be acknowledged or returned. DEWALT is not responsible for lost, late, damaged, misdirected, or illegible Entry Forms or unsuccessful attempts to notify any Winner.
6. Conditions
All federal, state, and local laws and regulations apply. Void where prohibited. Except as expressly provided herein, DEWALT shall not be responsible for any expenses incurred by participants in connection with participating in the Sweepstakes or claiming or using any prize awarded in the Sweepstakes. By submitting an Entry Form, each participant agrees to be bound by these Sweepstakes Rules and Regulations. Any decisions related to the Sweepstakes, the Sweepstakes Rules and Regulations, the operation of the Sweepstakes, and the qualifications and eligibility of any participant are at the sole discretion of DEWALT and are final. Each participant agrees to release and hold DEWALT, Home Depot U.S.A., Inc., and their employees, officers, directors, shareholders, agents, representatives, and their subsidiaries, parent companies, or other affiliated companies harmless from any and all damages, losses, claims, and liabilities arising out of his or her participation in the Sweepstakes or resulting from accepting or claiming any prize awarded hereunder. DEWALT reserves the right, in its sole discretion, to terminate, suspend, or otherwise cancel the Sweepstakes at any time for any reason. Sweepstakes Events are subject to cancelation and/or change. Each Winner will be required to complete an Affidavit of Eligibility and Liability/Publicity Release or his or her prize will be forfeited (except where prohibited by law). Participation in the Sweepstakes constitutes permission (except where prohibited by law) to use each Winner’s name, likeness, biographical information, photographs, and any statements or remarks made about winning or participating in the Sweepstakes for advertising and promotional purposes (in any medium) without additional compensation. Participants acknowledge and agree that DEWALT may share any and all information collected through the Sweepstakes from time to time with its subsidiaries, parent companies, or other affiliated companies. DEWALT may verify that all Winners are qualified. In the event a Winner is determined to be ineligible or is otherwise disqualified from the Sweepstakes, DEWALT may, but shall not be required, to select an alternate Winner. To the extent of any conflict, the English version of these Sweepstakes Rules and Regulations shall govern over all other translated versions.
