2005 DEWALT PIT CREW CHALLENGE
RULES AND REGULATIONS
This 2005 DEWALT Pit Crew Challenge (the “Challenge”) is sponsored by DEWALT Industrial Tool Company (“DEWALT”). The Challenge will run from February 14, 2005 through November 20, 2005 (the “Challenge Period”). The Challenge will consist of two rounds with only the winners of the previous round advancing to the next round. The preliminary round of the Challenge will run from February 14, 2005 to October 9, 2005 at various regional events (the “Preliminary Period”). The second round of the Challenge will be held on November 20, 2005 (the “Challenge Finals”). The final round of the Challenge will be held on November 20, 2005 (the “Grand Finale”).

HOW TO ENTER
In order to enter, each participant must completely fill out the information required on the Entry Form (the “Entry Form”) accessed at www.dewalt.com (the “Website”) or available at the Preliminary Events (as defined below). The information requested marked “optional” on the Entry Form may be answered at the participants’ discretion. Participants must arrive at the Preliminary Event before the end of the registration period for such Preliminary Event. Participants must compete in the Challenge in teams of two. In the event that any team advances during the Challenge, each team must have the same team members present at the beginning of the each successive round as registered in the Preliminary Event in which they were declared a Finalist. In the event that any one member of such team is unable or unwilling to attend the Challenge Finals or the Grand Finale, such team will be disqualified from participating at the Challenge Finals or the Grand Finale.

PRELIMINARY EVENTS
During the Preliminary Period, approximately four hundred preliminary contest events (each a “Preliminary Event”) will be conducted at local racetracks and participating retailers (to obtain the dates and locations of the Preliminary Events please visit the Website or send a self addressed stamped envelope to 2005 DEWALT Pit Crew Challenge Preliminary Event Schedule, 701 E. Joppa Road, Towson, Maryland 21286, mail stop #TW395) in which each team will attempt to record the fastest Valid Time (see below for definition) for the respective region. All of the Preliminary Events are divided into three (3) regions. All retail location events during the Preliminary Period shall be part of the “Retail Region.” All racetrack Preliminary Events held between February 18, 2005 and July 10, 2005 shall be part of the “First Track Region,” and all racetrack Preliminary Events held from July 11, 2005 until October 9, 2005 shall be part
of the “Second Track Region.” The team with the fastest Valid Time for the First Track Region at the end of all qualifying Preliminary Events for the First Track Region shall be declared a Finalist and the team with the fastest Valid Time in the Second Track Region at the end of the Preliminary Period shall be declared a Finalist. In the case of the Retail Region, the teams with the six (6) fastest Valid Times at the end of the Preliminary Period will each be declared a Finalist. There will be eight (8) Finalists in total: one (1) from the First Track Region, one (1) from the Second Track Region and six (6) from the Retail Region. In the case of a tie, each team with the fastest Valid Time for the respective region will be declared a “Finalist(s).” A team may win and be declared the Finalist for one region only. The Finalist need not be present when the winner is declared.

CHALLENGE FINALS
Each Finalist will receive a trip to Miami, Florida (as described below) to compete in the next round of the Challenge (the “Challenge Finals”). The Challenge Finals will consist of three rounds.
The first round of the Challenge Finals will occur at the Homestead-Miami Speedway in Miami, Florida at such time and location designated by DEWALT. For the first round of the Challenge Finals, each of the Finalists will be ranked one through eight based upon the Finalist’s Valid Time at his respective Preliminary Event (i.e. the Finalist with the fastest Valid Time will be ranked one and the Finalist with the slowest Valid Time will be ranked eighth). In the event that one or more Finalists recorded the same Valid Time at their respective Preliminary Events, the tied Finalists will draw numbers (as supervised by a DEWALT representative) to determine each Finalist’s ranking. The Finalists will then compete in head-to-head competition with the highest available ranked Finalist competing against the lowest available ranked Finalist (i.e. first versus eighth, second versus seventh, etc.). The Finalist with the faster of the two Valid Times in each head-to-head competition will be declared a “First Round Winner” and will advance to the second round. In the event of a tie, each Finalist with the same Valid Time will compete in a Playoff. The Finalist with the fastest Valid Time in the Playoff will be declared a First Round Winner. The Valid Time the First Round Winner records during the Playoff will be considered his or her Valid Time for purposes of rankings in the second round of the Challenge Finals (see below). In the event of a tie at the regional level, those Finalists will compete in a tie-breaker contest prior to the start of the Challenge Finals. Only those participants with the fastest Valid Time during the Playoffs will continue to compete in the Challenge Finals.
The second round of the Challenge Finals will occur at the Homestead-Miami Speedway in Miami, Florida at such time designated by DEWALT. For the second round of the Challenge Finals, each of the First Round Winners will be ranked one through four based upon the First Round Winner’s Valid Time during the first round of the Challenge Finals (i.e. the First Round Winner with the fastest Valid Time will be ranked one and the First Round Winner with the slowest Valid Time will be ranked fourth). In the event that one or more First Round Winners recorded the same Valid Time during the first round of the Challenge Finals, the tied First Round Winners will draw numbers (as supervised by a DEWALT representative) to determine each First Round Winner’s ranking. The First Round Winners will then compete in head-to-head competition with the highest available ranked First Round Winner competing against the lowest available ranked First Round Winner (i.e. first versus fourth, second versus third). The First Round Winner with the faster of the two Valid Times in each head-to-head competition will be declared a “Second Round Winner”.
The third round of the Challenge Finals will occur at the Homestead-Miami Speedway in Miami, Florida at such time designated by DEWALT. The two Second Round Winners will compete in a head-to-head competition to determine the “Challenge Winner”. In the event of a tie, the Second Round Winners will compete in a Playoff and will continue to do so until one Second Round Winner records the faster Valid Time. The Second Round Winner with the fastest Valid Time in the Playoff will be declared the Challenge Winner. The Second Round Winner with the slowest Valid Time in the third round will be declared the “Challenge Runner Up.”

GRAND FINALE
The final round of the Challenge will occur at the Homestead-Miami Speedway in Miami, Florida at such time designated by DEWALT (the “Grand Finale”). The Challenge Winner will have one chance to beat the 2005 DEWALT NASCAR Pit Crew Team (the “NASCAR Team”) to win Ten Thousand Dollars ($10,000) cash for each team member (a total prize of $20,000) (as described below).

THE COMPETITION
During each round of the Challenge, each team will be timed to determine how fast the team can remove five lug nuts and the tire and replace the tire and the lug nuts on the DEWALT car using a DEWALT DW059 Impact Wrench (a “Wrench”), socket and battery within the Qualifying Time (as defined below). At each Challenge event, DEWALT will provide a contest workstation and all contest materials. Participants must use the materials, protective gear and contest workstations provided by DEWALT. Participants will not be allowed to bring their own Wrench or other materials (including, but not limited to, sockets, gloves, etc). Participants will select from the materials provided which Wrench, socket and battery they wish to use during the Challenge. DEWALT representatives will check the tires in between each Challenge team participant to ensure that the tires are tightened to a minimum range. Team members must designate which team member will start at the front of the car (“Participant A”) and who will start at the rear of the car (“Participant B”) and position themselves on the start pad and place each of their Wrenches in the holsters. Once situated, the team shall notify the DEWALT representative that they are ready to begin the Challenge. Once the team has so notified the DEWALT representative that they are ready to begin, neither participant may touch the Wrench until after the timer has been started. The DEWALT representative will give the go ahead. No team member is permitted to touch the tires or the lug nuts prior to starting the timer.
In order for a team to record a “Valid Time”, after receiving the go ahead from DEWALT representative the team must complete the following steps: (1) Both Participants should start with both wrenches in the holsters and the participants must not be touching the wrenches; (2) Participant A starts the timer; (3) Remove the Wrenches from the holsters; (4) Remove the five lug nuts from each tire and remove each tire from its axle; (5) move the tire to the opposite end of the car (Participant A moves his tire the rear axle and Participant B moves his tire to the front axle); (6) Participant B place his tire on the front axle and Participant A places his tire on the rear axle; (7) tighten the lug nuts to the Minimum Distance (as defined below); (8) place both Wrenches into the holsters; (9) Participant B stops the timer. No team member may be touching the tires, the lug nuts or the Wrenches when the timer is stopped or the team will be disqualified. Only Valid Times will count during the Challenge Period. In the event of a false start (one team member touches or removes the Wrench from the holster prior to the start button being hit but after being given the ready sign to the DEWALT rep to begin the Challenge), the team will be permitted one make up chance. Each team will be given one opportunity to record a Valid Time and one false start. Minimum Distance is determined when the measuring cylinder is placed onto the bolt and the measuring card cannot be inserted completely into the groove in the measuring cylinder . In other words, the measuring card must hit each bolt on the each axle. All teams must complete the Challenge with a Valid Time no slower than 2:00 minutes (the “Qualifying Time”). Any team with a Valid Time slower than the Qualifying Time shall be disqualified.
The failure of the participant to check that (i) the battery is not charged to his/her satisfaction, (ii) they are familiar with the forward/reverse rocker switch (iii) ensure that the socket is locked and tight shall not be deemed a mechanical failure.

PRIZES
Each member of the Finalist team will receive: (1) a trip to the Challenge Finals in Miami, Florida on November 18, 2005 – November 20, 2005 consisting of: (i) one round-trip coach air transfer from the major commercial airport nearest the Finalist’s residence; (ii) three (3) days/ two (2) nights standard hotel accommodations; and (iii) a race pass to the Ford 400 at the Homestead-Miami Speedway on November 21, 2004 (combined approximate retail value of U.S. $1,500.00); (2) a DEWALT DC4KITA Heavy-Duty XRP™ 18V Cordless Combo Kit (with an approximate retail value of $500.00); (3) a DC011 Heavy Duty Worksite Radio Charger (with an approximate retail value of $129.00) (the “Finalist Team Member Prize Package”). The approximate total retail value of each of these Finalist Team Member’s Prize Package shall be $2,129.00. The approximate total aggregate retail value of all Finalist Team Member Prize Packages is $34,064.00. Prior to the awarding of any prizes, each Finalist team member will be subject to a background check satisfactory to DEWALT at its sole discretion, see “Eligibility” below for more details.
Each member of the Challenge Runner Up team will receive a $5,000.00 DEWALT tool package (with an approximate retail value of $5,000.00). The approximate total retail value of all Challenge Runner Up prize packages is $10,000.00.
Each member of the Challenge Winner team will receive: (1) a $2,500 voucher for DEWALT tool package (with an approximate retail value of $2,500); (2) a 2004 40th Anniversary Roush Stage 3 Mustang with the standard body package (with an approximate retail value of $50,000 for a total approximate prize package of $52,500. The approximate total retail value of both Challenge Winner team member’s prize packages is $ $105,000.
In the event that the Challenge Winner is declared the Grand Finale Winner, each team member will receive Ten Thousand Dollars ($10,000) in cash. The maximum retail value of any prize awarded during the Grand Finale is $10,000.00.
The maximum approximate total retail value of all prize packages under the Challenge is $169,064.00. All prizes are expected to be delivered by April 1, 2006, except as otherwise noted herein. Any Challenge Winners who elects at his or her sole discretion to customize the Mustang received should expect a delay in the delivery of those prizes. Delivery will occur at such times as Roush can deliver such customization requested by the Challenge Winner. All prizes are non-transferable and are not redeemable for cash. DEWALT reserves the right to substitute any prize for a prize of equal or greater value. Unclaimed prizes will not be awarded.

ELIGIBILITY
The Challenge is open to legal residents of the USA residing in the 48 contiguous states, Alaska or Hawaii, 18 years of age or older. Participants will be allowed one entry and attempt per day. Current employees or individuals who have been employed at any time since January 1, 2005 by DEWALT, participating retailers, or any NASCAR sponsored racing team (i.e. Nextel Cup, Busch Series or Craftsman Truck Series), their affiliates, manufacturers, sales reps, subsidiaries or parent companies, advertising/sales promotion agencies, judging organizations, and the immediate families of each are not eligible. The members of the 2004 DEWALT PIT CREW CHALLENGE WINNER team are also not eligible. Void where prohibited. Entry materials become the property of DEWALT. DEWALT is not responsible for lost, late, damaged, misdirected, or illegible entry forms. Participants under the influence of alcohol or drugs will not be allowed to participate in the Challenge. Prior to the awarding of any prizes, each Finalist will be subject to a background check. DEWALT, in its sole discretion, shall have the right to disqualify the participant from the Challenge based upon the results of such background check.

CONDITIONS
Void where prohibited. All federal, state, and local laws and regulations apply. DEWALT is not responsible for any expenses (except as set forth above) incurred by participants in connection with participation in the Challenge or the claiming or use of any prizes. All participants who participate in the Challenge must conduct themselves in a safe and prudent manner for their safety and the safety of those around them. If DEWALT believes any participant is operating in any unsafe manner, they will be immediately disqualified. By submitting an Entry Form, each participant agrees to be bound by these Challenge rules, and any decisions related to the Challenge, the Challenge rules, and the operation of the Challenge. The qualifications, and eligibility of any participant, and any decisions related to these Challenge Rules are at the sole discretion of DEWALT and are final. Each participant agrees to release and hold DEWALT, its employees, officers, directors, shareholders, agents, representatives and its subsidiaries, parent companies or other affiliated companies harmless from any and all damages, losses, claims and/or liabilities, direct or indirect, arising out of his or her participation in the Challenge or resulting from accepting or claiming or using any prize awarded hereunder. DEWALT reserves the right, in its sole discretion, to alter, change, terminate, suspend or otherwise cancel the Challenge at any time for any reason. These Challenge rules are subject to change without notification. Participants may be required to complete a Liability Release Form. Participation in the Challenge constitutes permission (except where prohibited by law) to use winners’ names, likenesses, biographical information, photographs, video and any statements or remarks made about winning or participating in the Challenge for advertising and promotional purposes (in any medium) without additional compensation. Participants acknowledge and agree that DEWALT may share any and all information collected through the Challenge from time to time with its subsidiaries, affiliates, third parties providing services on its behalf, sponsors of certain promotions or partner companies. DEWALT may verify that all winners are qualified. Each Finalist must consent to a background check or be disqualified from the Challenge and not be eligible to receive any prizes. Income and other taxes are the responsibility of the winners. Title and registration fees are the responsibility of the winners. All travel is subject to availability for chosen time of travel and will be arranged for by DEWALT. Travel does not include upgrades in airfare, travel arrangements to and from the airports, additional hotel night, meals, or any other incidental costs. Travel does include hotel and airport taxes. If any participant commits any act or is involved in any situation or occurrence which informed parties can reasonably conclude brings DEWALT into public disrespect, scandal or ridicule, shocks or offends the community, detracts from the public image of DEWALT, or reflects unfavorably upon DEWALT, DEWALT shall have the right, at its sole discretion, to disqualify the participant from the Challenge.
In the event of a mechanical failure of the timer or the rig, or a mechanical failure of the wrench or the socket, which failure is beyond the control of the participant (including, but not limited to, motor burns out, wrench fails to operate, battery falls out, etc.), the participate will be allowed to retake the Challenge.
