DEWALT "2003 MILLION DOLLAR CHALLENGE"
RULES AND REGULATIONS
This DEWALT "2003 Million Dollar Challenge" (the "Challenge") is sponsored by DEWALT Industrial Tool Company ("DEWALT"). The Challenge will run from February 15, 2003 through November 2, 2003 (the "Challenge Period"). The Challenge will consist of three rounds with only the winners of the previous round advancing to the next round. The preliminary round of the Challenge will run from February 15, 2003 to September 6, 2003 (the "U.S. Preliminary Period"). The regional round of the Challenge will run from on or about September 6, 2003 to October 19, 2003 (the "U.S. Regional Period"). The final round of the Challenge will run from October 31, 2003 to November 2, 2003.

HOW TO ENTER
In order to enter, each participant must completely fill out the information required on the Entry Form (the "Entry Form") accessed at www.DEWALT.com (the "Website") or available at the Preliminary Events (as defined below). The information requested marked "optional" on the Entry Form may be answered at the participants' discretion. Canadian participants must register and qualify in the manner as set forth in the Canadian 2003 Million Dollar Challenge Rules, which manner may differ from that set forth in these U.S. Rules. Participants must arrive at the U.S. Preliminary Event before the end of the registration period for such U.S. Preliminary Event.

PRELIMINARY EVENTS
During the U.S. Preliminary Period, approximately four hundred fifty (450) preliminary contest events (each a "U.S. Preliminary Event") will be conducted at local participating U.S. retail stores (to obtain the dates and locations of the U.S. Preliminary Events please visit the Website or send a self addressed stamped envelope to DEWALT 2003 Million Dollar Challenge Preliminary Event Schedule, 701 E. Joppa Road, Towson, Maryland 21286, mail stop #TW395 ) in which participants will attempt to record the fastest Valid Time (see below for definition) for that U.S. Preliminary Event. The participant with the fastest Valid Time for each U.S. Preliminary Event (or in the case of a tie, each participant with the fastest Valid Time for the U.S. Preliminary Event) will be declared the "U.S. Preliminary Event Winner(s)". A participant may win and be declared the U.S. Preliminary Event Winner for one U.S. Preliminary Event only. The U.S. Preliminary Event Winner need not be present when the winner is declared.

REGIONAL EVENTS
During the U.S. Regional Period, each U.S. Preliminary Event Winner will be invited to compete at one of thirteen (13) regional contest events (each a "U.S. Regional Event"). Each U.S. Preliminary Event Winner will be notified of his respective U.S. Regional Event's time and location at least five (5) days prior to the U.S. Regional Event. Each U.S. Preliminary Event Winner will be responsible for his or her own travel arrangements to and from the U.S. Regional Event. Any U.S. Preliminary Event Winner that does not show up for his or her assigned U.S. Regional Event at the time designated by DEWALT will be disqualified from the Challenge. The U.S. Preliminary Event Winner with the fastest Valid Time at each U.S. Regional Event will be declared (subject to a background check satisfactory to DEWALT) the "U.S. Regional Event Winner." In the event of a tie, each U.S. Preliminary Event Winner with the same Valid Time at the U.S. Regional Event (and only the tied U.S. Preliminary Event Winners) will compete in a single elimination playoff (the "Playoff"). The U.S. Preliminary Event Winner with the fastest Valid Time in the Playoff will be declared the U.S. Regional Event Winner. The Valid Time the U.S. Preliminary Event Winner records during the Playoff will be considered his or her Valid Time for purposes of rankings in the first round of the Challenge Finals (see below).

CHALLENGE FINALS
Each U.S. Regional Event Winner will receive a trip for two (2) to Phoenix, Arizona on October 30, 2003 (as described below) to compete in the final round of the Challenge (the "Challenge Finals"). The Challenge Finals will consist of four rounds.
The first round of the Challenge Finals will occur at the Phoenix International Raceway in Avondale, Arizona at such time and location designated by DEWALT. For the first round of the Challenge Finals, each of the U.S. Regional Event Winners and the Canadian National Event Winner (collectively, the "Regional Event Winners") will be ranked one through fourteen based upon the Regional Event Winner's Valid Time at his respective Regional Event (i.e. the Regional Event Winner with the fastest Valid Time will be ranked one and the Regional Event Winner with the slowest Valid Time will be ranked fourteenth). In the event that one or more Regional Event Winners recorded the same Valid Time at their respective Regional Events, the tied Regional Event Winners will draw numbers (as supervised by a DEWALT representative) to determine each Regional Event Winner's ranking. The Regional Event Winners will then compete in single elimination competition. The Regional Event Winners with the six slowest Valid Times in the first round competition will not advance to the second round. The Regional Event Winners with the fastest eight Valid Times in the first round competition will be declared a "First Round Winner" and will advance to the second round. In the event of a tie, each Regional Event Winner with the same Valid Time will compete in a Playoff. The Regional Event Winner with the fastest Valid Time in the Playoff will be declared a First Round Winner. The Valid Time the First Round Winner records during the Playoff will be considered his or her Valid Time for purposes of rankings in the second round of the Challenge Finals (see below).
The second round of the Challenge Finals will occur at the Phoenix International Raceway in Avondale, Arizona at such time designated by DEWALT. For the second round of the Challenge Finals, each of the First Round Winners will be ranked one through eight based upon the First Round Winner's Valid Time during the first round of the Challenge Finals (i.e. the First Round Winner with the fastest Valid Time will be ranked one and the First Round Winner with the slowest Valid Time will be ranked eighth). In the event that one or more First Round Winners recorded the same Valid Time during the first round of the Challenge Finals, the tied First Round Winners will draw numbers (as supervised by a DEWALT representative) to determine each First Round Winner's ranking. The First Round Winners will then compete in head-to-head competition with the highest available ranked First Round Winner competing against the lowest available ranked First Round Winner (i.e. one versus eight, two versus seven, etc.). The First Round Winner with the faster of the two Valid Times in each head-to-head competition will be declared a "Second Round Winner".
The third round of the Challenge Finals will occur at the Phoenix International Raceway in Avondale, Arizona at such time designated by DEWALT. For the third round of the Challenge Finals, each of the Second Round Winners will be ranked one through four based upon the Second Round Winner's Valid Time during the second round of the Challenge Finals (i.e. the Second Round Winner with the fastest Valid Time will be ranked one and the Second Round Winner with the slowest Valid Time will be ranked fourth). In the event that one or more Second Round Winners recorded the same Valid Time during the second round of the Challenge Finals, the tied Second Round Winners will draw numbers (as supervised by a DEWALT representative) to determine each Second Round Winner's ranking. The Second Round Winners will then compete in head-to-head competition with the number one ranked Second Round Winner competing against the number four ranked Second Round Winner, and the number two ranked Second Round Winner competing against the number three ranked Second Round Winner. The Second Round Winner with the faster of the two Valid Times in each head-to-head competition will be declared a "Third Round Winner".
The fourth round of the Challenge Finals will occur on November 2, 2003 at the Phoenix International Raceway in Avondale, Arizona at such time designated by DEWALT. The two Third Round Winners will compete in a head-to-head competition to determine the "Challenge Winner". In the event of a tie, the Third Round Winners will compete in a Playoff and will continue to do so until one Third Round Winner records the faster Valid Time. The Third Round Winner with the fastest Valid Time in the Playoff will be declared the Challenge Winner.

GRAND FINALE
The Challenge Winner will have the opportunity to compete for One Million U.S. Dollars (U.S. $1,000,000) (the "Grand Finale"). The Grand Finale will occur on November 2, 2003 at the Phoenix International Raceway in Avondale, Arizona at such time designated by DEWALT. The Challenge Winner will have one chance to beat the clock and win the Grand Prize (as defined below). The time to beat during the Grand Finale shall be determined by DEWALT on or before August 22, 2003 (the "Time To Beat").

THE COMPETITION
During each round of the Challenge, each participant will be timed to determine how fast the participant can drive five (5) 1-5/8" drywall screws into a wood board using a DEWALT XRP 14.4 volt cordless drill/driver (a "Drill"). At each Challenge event, DEWALT will provide a contest workstation and all contest materials. Participants must use the materials and contest workstations provided by DEWALT. Participants will not be allowed to bring their own Drill or other materials (including, but not limited to, screw driver bits, gloves, etc).
In order for a participant to record a "Valid Time", the participant must: (1) start the timer using the same hand that the participant intends to use to hold the Drill; (2) grab the Drill using the same hand that the participant used to start the timer; (3) grab screws; (4) drive five screws flush into the wood board (the screws are deemed flush if a DEWALT representative can pass a straight edge over all five screws without the straight edge catching on any of the screws); and (5) stop the timer using the bottom of the battery on the Drill. Participants may not touch the screws prior to starting the timer. Only Valid Times will count during the Challenge Period. Each participant will be given one opportunity to record a Valid Time.

PRIZES
Each Preliminary Event Winner will receive a Mobile Storage Chest, Model 2448, with an approximate retail value of U.S. $ 300.00. The approximate total aggregate retail value of the prizes awarded during the U.S. Preliminary Period shall be U.S. $ 135,000.00.
Each U.S. Regional Event Winner will receive: (1) a trip for two to the Challenges Finals in Phoenix, Arizona consisting of two round-trip coach air transfers from the major commercial airport nearest the Regional Event Winner's residence and four (4) days/ three (3) nights standard hotel accommodations (combined approximate retail value of U.S. $2,000.00); (2) two race passes for the Chevy Silverado 1500 at the Phoenix International Raceway, the Bashas' Supermarkets 200 at the Phoenix International Raceway and the Checker Auto Parts 500 at the Phoenix International Raceway (approximate retail value of U.S. $400.00); (3) one ticket to the Richard Petty Driving Experience King's Experience program redeemable at any Richard Petty driving school (approximately maximum retail value of U.S. $1,199); (4) a U.S. $1,000 retail coupon for a Carhart outfit; and (5) a DEWALT tool package (approximate retail value of U.S. $2,000) (the "U.S. Regional Event Winner Prize Package"). The approximate total retail value of each of these U.S. Regional Event Winner's prize package shall be $6,599.00. The approximate total aggregate retail value of all U.S. Regional Event Winner prize packages is $92,386.00. Prior to the awarding of any prizes, each U.S. Regional Event Winner will be subject to a background check satisfactory to DEWALT at its sole discretion, see "Eligibility" below for more details.
Each of the First Round participants with six slowest Valid Times will receive a Bombardier Outlander 400 4x4 ATV (approximate retail value of U.S. $6,000.00). The approximate total aggregate retail value of all Finalist prize packages is U.S. $36,000.00.
Each of the seven First Round Winners who do not become the Challenge Winner will receive a 2003 Chevy Silverado 1500, delivered at an authorized Chevrolet dealer of the First Round Winner's choice (approximate retail value of U.S. $25,000.00). The approximate total aggregate retail value of all the First Round Winner's prize packages is U.S. $175,000.00.
The Challenge Winner will receive a 2003 Chevy Silverado 3500 delivered at an authorized Chevrolet dealer of the Challenge Winner's choice (approximate retail value of U.S. $45,000). If the Challenge Winner's Valid Time during the Grand Finale is faster than the Time To Beat, he will receive U.S. $1,000,000 payable via a 20 year annuity without interest ("Grand Prize"), issued by a third party annuity issuer. If the Challenge Winner's Valid Time during the Grand Finale equals the Time To Beat or is slower than the Time To Beat, he or she will receive U.S. $ 25,000.00. Any Valid Time recorded during the Grand Finale is subject to verification by DEWALT or a third party insurance/underwriting company.
All prizes are expected to be delivered by December 31, 2003, except as otherwise noted herein. The awarding of the annuity and payments thereunder may be disbursed after that date, but shall be disbursed by April 2003. Any First Round Winners who elects at his or her sole discretion to customize the Chevy Truck received should expect a delay in the delivery of those prizes. Delivery will occur at such times as the authorized Chevrolet dealer can deliver such customization requested by the First Round Winner. All prizes are non-transferable. DEWALT reserves the right to substitute any prize for a prize of equal or greater value. Unclaimed prizes will not be awarded.

ELIGIBILITY
The Challenge is open to legal residents of the USA, 18 years of age or older. Canadian residents may enter via the Canadian 2003 Million Dollar Challenge. See the Canadian 2003 Million Dollar Challenge rules for details. Participants will be allowed one entry and attempt per event. Current employees or individuals who have been employed at any time since January 1, 2002 by DEWALT, its affiliates, manufacturers, sales reps, subsidiaries or parent companies, advertising/sales promotion agencies, judging organization, participating local retailers and the immediate families of each are not eligible. The previous DEWALT Million Dollar Challenge grand prize winner is not eligible. Void where prohibited. Entry materials become the property of DEWALT. DEWALT is not responsible for lost, late, damaged, misdirected, or illegible entry forms. A Participant is not eligible to compete in a U.S. Preliminary Event if they have previously been declared the U.S. Preliminary Event Winner for a previous U.S. Preliminary Event. Participants under the influence of alcohol or drugs will not be allowed to participate in the Challenge. Prior to the awarding of any prizes, each U.S. Regional Event Winner will be subject to a background check. DEWALT, in its sole discretion, shall have the right to disqualify the participant from the Challenge based upon the results of such background check.

CONDITIONS
All federal, state, and local laws and regulations apply. DEWALT is not responsible for any expenses (except as set forth above) incurred by participants in connection with participation in the Challenge or the claiming or use of any prizes. By submitting an Entry Form, each participant agrees to be bound by these Challenge rules, and any decisions related to the Challenge, the Challenge rules, and the operation of the Challenge. The qualifications and eligibility of any participant are at the sole discretion of DEWALT and are final. Each participant agrees to release and hold DEWALT, its employees, officers, directors, shareholders, agents, representatives and its subsidiaries, parent companies or other affiliated companies harmless from any and all damages, losses, claims and/or liabilities, direct or indirect, arising out of his or her participation in the Challenge or resulting from accepting or claiming or using any prize awarded hereunder. DEWALT reserves the right, in its sole discretion, to alter, change, terminate, suspend or otherwise cancel the Challenge at any time for any reason. These Challenge rules are subject to change without notification. Participants and their guest(s) may be required to complete a Liability Release Form. Participation in the Challenge constitutes permission (except where prohibited by law) to use winners' names, likenesses, biographical information, photographs and any statements or remarks made about winning or participating in the Challenge for advertising and promotional purposes (in any medium) without additional compensation. Participants acknowledge and agree that DEWALT may share any and all information collected through the Challenge from time to time with its subsidiaries, affiliates, third parties providing services on its behalf, sponsors of certain promotions or partner companies. DEWALT may verify that all winners are qualified. Each Regional Event Winner must consent to a background check or be disqualified from the Challenge and not be eligible to receive any prizes. Income and other taxes are the responsibility of the winners. Title and registration fees are the responsibility of the winners. All travel is subject to availability for chosen time of travel. Travel does not include upgrades in airfare, travel arrangements to and from the airports, additional hotel night, meals, or any other incidental costs. If any participant or their guest(s) commits any act or is involved in any situation or occurrence which informed parties can reasonably conclude brings DEWALT into public disrespect, scandal or ridicule, shocks or offends the community, detracts from the public image of DEWALT, or reflects unfavorably upon DEWALT, DEWALT shall have the right, at its sole discretion, to disqualify the participant from the Challenge.
