DEWALT RACE SWEEPSTAKES RULES AND REGULATIONS

This DEWALT Race Sweepstakes (the "Sweepstakes") is sponsored by Black & Decker (U.S.) Inc. acting through its DEWALT Industrial Tool Company division ("DEWALT"). The Sweepstakes begins on June 1, 2007 and ends on July 31, 2007 (the "Sweepstakes Period"), and participants may enter at www.samsclub.com. A random drawing to select one (1) Winner (the "Drawing") will be held at the DEWALT headquarters in Baltimore, Maryland (the "Drawing Location") approximately ten (10) days after the conclusion of the Sweepstakes Period..

2. How To Enter
In order to enter, each participant must completely fill out the information required on the Entry Form (the "Entry Form") accessed at www.samsclub.com. Any information requested and marked "optional" on the Entry Form may be answered at the participant’s discretion. All Entry Forms must be received by DEWALT before 5:00 P.M. EST on Tuesday, July 31, 2007.

By completing and submitting an Entry Form during the Sweepstakes Period, the participant receives one entry for the Sweepstakes. The maximum number of entries is one (1) per household.
DEWALT reserves the right to verify that each Winner is qualified and entitled to receive a prize.

3. Drawing
A random prize drawing will be held at the Drawing Location approximately ten (10) days after the conclusions of the Sweepstakes Period. A DEWALT representative will be present to conduct the drawings. The first entry drawn will be declared the Winner. Participants need not be present to win. The Winner will be notified either by phone, email, or mail within fourteen (14) days of the drawing based on the information provided by participant on the Entry Form. All qualified entries will be placed in the drawing. Odds of winning a prize depend on the number of eligible entries received.

4. Prize
The Sweepstakes Winner will receive four (4) tickets to one (1) of the following ten (10) NASCAR Race Events of his or her choice Loudon, NH (September 16, 2007); Dover, DE (September 23, 2007); Kansas City, KS (September 30, 2007); Talladega, AL (October 7, 2007); Charlotte, NC (October 13, 2007); Martinsville, VA (October 21, 2007); Atlanta, GA (October 28, 2007); Fort Worth, TX (November 4, 2007); Phoenix, AZ (November 11, 2007); or Homestead, FL (November 18, 2007).

The maximum retail value of the prize is $480.00. The Winner should allow thirty (30) days from acceptance for delivery of the Prize. DEWALT reserves the right to substitute the Prize for a prize of equal or greater value. All prizes are non-transferable and are not redeemable for cash. The failure to accept any prize within fourteen (14) days after attempted notification shall result in a forfeiture of all prizes awarded hereunder.

5. Eligibility
The Sweepstakes is open to legal residents of the U.S. residing in the 48 contiguous states, Alaska, Hawaii and the District of Columbia 18 years or older. Individuals who are or were employees DEWALT , its affiliates, manufacturers, sales representatives, subsidiaries or parent companies, advertising/sales promotion agencies, judging organization since December 1, 2006 and the immediate families of each are not eligible. Void where prohibited. Entry materials become the property of DEWALT and will not be acknowledged or returned. DEWALT is not responsible for lost, late, misdirected or illegible Entry Forms, or unsuccessful attempts to notify the Winner.

Any attempt by a participant to use multiple e-mail accounts or multiple e-mail addresses to multiply the number entries or any attempt to use an automated system or agent to submit entries is prohibited and will result in disqualification from the Sweepstakes. The authorized account holder of the e-mail address used to register will be deemed to be the participant/registrant. The authorized account holder must be a natural person assigned to the e-mail address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A participant or potential winner may be required to show proof of being the authorized account holder of the e-mail address.

6. Conditions
All federal, state, and local laws and regulations apply. Void where prohibited. DEWALT is not responsible for any expenses incurred by participants in connection with participation and the claim or use of any prizes awarded in the Sweepstakes, including without limitation any travel expenses. By submitting an Entry Form, each participant agrees to be bound by these Sweepstakes rules, and any decisions related to the Sweepstakes, the Sweepstakes rules, the operation of the Sweepstakes, and the qualifications and eligibility of any participant are at the sole discretion of DEWALT and are final. Each participant agrees to release and hold DEWALT , its employees, officers, directors, shareholders, agents, representatives and their subsidiaries, parent companies or other affiliated companies harmless from any and all damages, losses, claims and/or liabilities arising out of his participation in the Sweepstakes or resulting from accepting or claiming any prize awarded hereunder. DEWALT reserves the right, in its sole discretion, to terminate, suspend or otherwise cancel the Sweepstakes at any time for any reason. Participants may be required to complete an Affidavit of Eligibility and Liability/Publicity Release, and the failure to do so, when required, shall indicate a participant’s refusal to accept a prize. Participation in the Sweepstakes constitutes permission (except where prohibited by law) to use Winner’s name, likeness, biographical information, photographs and any statements or remarks made about winning or participating in the Sweepstakes for advertising and promotional purposes (in any medium) without additional compensation. Participants acknowledge and agree that DEWALT may share any and all information collected through the Sweepstakes from time to time with their subsidiaries, parent companies, or other affiliated companies. DEWALT may verify that all winners are qualified. Income and other taxes (if any) are the responsibility of the winner.
